Real Estate Transfers & Financing
Our real estate transfer and financing practice involves work performed for major developers, government agencies, entrepreneurs and investors to the largest real estate fund sponsors and Real Estate Investment Trusts (REITs). With experience across a broad array of real estate deals, our business and legal know-how allows our firm to assist in the most complex property law matters throughout the U.S. Buyers and sellers look to our attorneys to represent them in transactions, including the sales and acquisitions of hotels, resorts, office buildings, residential buildings, shopping centers and many other types of properties.
In real estate financings, we have handled lease agreements and loans, including construction loans, portfolio loans, securities offerings, bond financings, leveraged leases and other secured and unsecured borrowing. We represent parties on both sides of real estate transactions — lenders (such as banks, REITs and other institutional lenders) and borrowers (including developers, investors and owners).
General Corporate, Commercial and Business Law
Our lawyers are well versed in many areas of business practice, including transactions under the Uniform Commercial Code, sales and purchases of products, the formation and management of corporations, limited liability companies and other business entities, mergers and acquisitions, regulatory, compliance and risk management, business litigation and federal and state taxation. This work routinely involves the drafting of various types of contracts, and settlement of disputes by negotiation, litigation, bankruptcy or alternative dispute resolution, such as mediation. Secured and Unsecured Financings
In recent years, the line between "equipment finance" and "secured lending" has blurred. Many lawyers with experience in equipment leasing do not have the requisite experience as lender counsel to deal with financial covenants, UCC Article 9 remedies and other loan-related documentation issues. Our lawyers have experience representing banks and other lenders with regard to a wide variety of loan transactions, including lines of credit, small business loans, joint venture financing, loans secured by inventory and business equipment, real estate and transactions involving commercial paper, custodianships, titling trusts and other arrangements.
