General Business & Commercial Law

Speed is good when wisdom leads the way. – Edward R. Murrow

Our services are not limited to financings secured by business equipment. Marks & Associates, P.C. represents clients in a wide range of commercial transactions and secured and unsecured financings, including lines of credit and loans secured by insurance, stock and other intangibles. We represent parties to project financings, including energy generation transactions.  We handle real estate transfers and financings nationally. We also represent clients in mergers and acquisitions of companies through asset or ownership transfers and specific asset transfers, including sales and acquisitions of asset portfolios. We pride ourselves on being able to address the needs of our business clients and providing the same business-oriented service that we offer the equipment finance industry.

General Corporate, Commercial and Business Law

Our lawyers are well versed in many areas of business practice, including transactions under the Uniform Commercial Code, sales and purchases of products, the formation and management of corporations, limited liability companies and other business entities, mergers and acquisitions, regulatory, compliance and risk management, business litigation and federal and state taxation.  This work routinely involves the drafting of various types of contracts, and settlement of disputes by negotiation, litigation, bankruptcy or alternative dispute resolution, such as mediation.  Our lawyers include members of the State Bars of Alabama, Georgia and Florida.

Secured and Unsecured Financings

In recent years, the line between "equipment finance" and "secured lending" has blurred.  Many lawyers with experience in equipment leasing do not have the requisite experience as lender counsel to deal with financial covenants, UCC Article 9 remedies and other loan-related documentation issues.  Our lawyers have experience representing banks and other lenders with regard to a wide variety of loan transactions, including lines of credit, small business loans, joint venture financing, loans secured by inventory and business equipment, real estate and transactions involving commercial paper, custodianships, titling trusts and other  arrangements.
